Dear Member

Proposed Motions to adopt minor alterations to the Constitution of the Papakura Business Association Inc

Increase Quorum Numbers

  • To increase the quorum required for meetings of the Executive Committee from three voting members to five full members.
  • To increase the quorum required for meetings of General Meetings (Annual General Meetings and Special General Meetings) from six full members to ten full members.

Explanation: For BIDs of our size and income, the BID Policy 2022 requires an increase in the quorum numbers for meetings of the Executive Committee and General Meetings.

Provide for Online Meetings

  • To allow for Executive Committee meetings and General Meetings (Annual General Meetings and Special General Meetings) to be held online, in person, or both, utilising technology, audio, or audio and visual communication.

Explanation: The current constitution does not provide for online meetings. During Covid-19, the government provided a temporary provision to hold meetings online. It is proposed to provide permanent provision in the constitution for holding meetings online, in person, or both as well as necessary consequential amendments.

Alter Definitions

  • To make minor alterations to definitions and consequential alterations in the constitution so that the definitions reflect the terminology used in the BID Policy 2022, being to alter: (1) “Business Improvement District Partnership Programme” to “Auckland BID Programme” and “BID Partnership Programme” to “BID Programme”; and (2) “Business Improvement District Partnership Funding” or “BID Partnership Funding” to “BID Targeted Rate Grant”.

Explanation: The BID Policy 2022 has amended these definitions, and this requires the definitions to be amended in the constitution as well as consequential amendments.

Approve Annual Accountability

  • To approve the annual accountability reporting as required and set out in the BID Policy
